1. Definitions
- "Platform" means the Praxo web application and API
- "Service" means the environmental compliance management tools provided through the Platform
- "User" means any individual or organisation that creates an account on the Platform
- "Content" means any data, documents, or information uploaded to or generated by the Platform
2. Account Terms
- You must provide accurate and complete information when creating an account
- You are responsible for maintaining the security of your account credentials
- You must be at least 18 years old to use the Service
- One person or organisation may not maintain more than one free account
3. Subscription and Payment
- Paid features require a subscription through Paystack
- Subscriptions are billed monthly in South African Rand (ZAR)
- You may cancel your subscription at any time; access continues until the end of the billing period
- Refunds are not provided for partial billing periods
- We reserve the right to change pricing with 30 days notice to active subscribers
4. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose
- Upload malicious files or attempt to compromise platform security
- Share account credentials with unauthorised third parties
- Attempt to reverse-engineer, decompile, or extract the source code of the Platform
- Use the Platform to store data unrelated to environmental compliance workflows
- Exceed rate limits or attempt to circumvent usage restrictions
5. Intellectual Property
- Your content: You retain full ownership of all documents, data, and content you upload to the Platform. We claim no intellectual property rights over your content.
- Generated documents: Documents generated from templates using your project data are your property.
- Platform IP: The Platform, its design, code, and Praxo-maintained templates remain the intellectual property of Praxo.
- Aggregated data: We may use anonymised, aggregated data (with k-anonymity protections) for benchmarking features. No individually identifiable information is disclosed.
6. AI-Assisted Features
- AI features (screening, compliance review, document audit) provide suggestions and are not legal advice
- AI outputs include confidence scores and regulatory citations for your verification
- You are responsible for reviewing and accepting or rejecting AI suggestions
- Praxo is not liable for decisions made based on AI suggestions
7. Data Processing
For organisations processing personal information through the Platform (e.g., project stakeholder data), a Data Processing Agreement is available upon request at [email protected].
8. Service Availability
- We aim for 99.9% uptime but do not guarantee uninterrupted access
- Scheduled maintenance will be communicated in advance where possible
- We are not liable for service interruptions caused by third-party providers (Cloudflare, Azure, Paystack)
9. Limitation of Liability
To the maximum extent permitted by South African law:
- Praxo is not liable for indirect, incidental, special, or consequential damages
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We do not warrant that AI-assisted compliance suggestions are error-free
- Praxo is a workflow management tool, not a substitute for professional environmental assessment practice
10. Termination
- You may terminate your account at any time through account settings
- We may suspend or terminate accounts that violate these terms
- Upon termination, a 90-day grace period applies before data deletion
11. Governing Law
These terms are governed by the laws of the Republic of South Africa. Any disputes shall be resolved through arbitration in Johannesburg in accordance with the Arbitration Act 42 of 1965.
12. Changes to Terms
We may update these terms with 30 days notice to registered users. Continued use of the Platform after changes take effect constitutes acceptance of the updated terms.
